Confidentiality
We will not access, disclose, or use your Content except as necessary to provide the Services, comply with law, or with your consent. We understand your projects may involve unreleased scripts, media, or client materials, and we treat them as confidential. Restrictions on Use
You agree not to, and will not permit others to:
Copy, modify, distribute, sell, or lease any part of the Services, software, or content we provide.
Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where such restrictions are prohibited by law.
Use our brand, trademarks, or design elements without prior written consent.
Build a competing product or service using access to our Service or confidential information.
Use the Service to upload or share infringing, harmful, or unlawful content.

Upon termination:
You may export your content if and to the extent that export tools are available in your plan.
After any applicable buffer period, remaining content will be permanently deleted in accordance with our pricing plans and data policies.
Your right to use the Service will immediately cease.
Survival
The following sections survive termination of these Terms: Intellectual Property, Confidentiality, Indemnification, Limitation of Liability, Governing Law & Dispute Resolution, and Survival itself.
Enterprise and Custom Agreements
For Studio or Enterprise customers, custom agreements may apply. If there is a conflict, the custom agreement prevails.
Dispute Resolution and Governing Law
Governing law: These Terms are governed by Delaware law, excluding its conflict-of-laws rules.
Arbitration (U.S. users): Disputes must be resolved by binding arbitration in San Francisco, California, under AAA rules; small-claims court remains available.
Class-action and jury trial waiver: To the extent permitted by law, disputes are conducted only on an individual basis and not as a class action or representative proceeding, and you waive any right to a jury trial.
If any portion of this arbitration or waiver provision is found unenforceable, the remainder shall remain in full force and effect.
Non-U.S. users: Local consumer protection rights still apply where required by law.
Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, infrastructure failures, cyberattacks, labor disputes, acts of government, or widespread outages.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. If a provision is partly unenforceable, it will apply to the maximum extent permitted by law.
Entire Agreement & No Waiver
These Terms constitute the entire agreement between you and us regarding the Service and supersede prior or contemporaneous agreements on the subject. A party’s failure to enforce a provision is not a waiver.
Changes of Terms
We may update these Terms as the Service evolves. Material changes will be communicated by email, in-app notice, or website update. Continued use of the Service means acceptance of updated Terms.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms (in whole or part) in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Notices
We may provide notices to you by email, in-app messages, or posting within the Service. You agree to receive notices electronically.

Description of Service
Vision Cine X provides a creative workflow and file intelligence platform for film and media professionals. Features include:
AI-powered tools such as script breakdown, file organization, metadata tagging, search, and image generation.
Project management features including production asset management, scheduling, and collaboration.
Shared storage, permissions, and integrated workspaces.
We may update or improve features from time to time. Some features are only available on certain subscription plans or add-ons.
Accounts and Access
You must provide accurate registration details.
You are responsible for keeping login credentials secure.
Only one account per person is allowed; accounts cannot be shared.
You remain responsible for all activity under your account.
Subscription and Payment Terms
Plans and Billing. Subscriptions are billed monthly in advance and auto-renew until canceled. By starting a subscription, you authorize us (or our payment processor) to charge the then-current subscription price to your payment method at each renewal.
Taxes. Prices are exclusive of taxes. Any applicable VAT, GST, sales or similar taxes may be charged in addition to the listed price, based on your billing details and applicable law.
Payment Processing. We use third-party payment processors (e.g., Stripe) to process payments. You authorize such processors to charge your payment method, and you agree to their applicable terms. We do not store full payment card numbers.
Price Changes. We may change prices by providing at least 30 days’ notice before the next renewal. If you do not agree to a price change, you may cancel before it takes effect; otherwise, continued use after the effective date constitutes acceptance.
Cancellations. You may cancel at any time in your account settings. No prorated refunds are provided; your prepaid access continues until the end of the current billing period, after which your subscription will not renew.
Plan Changes. Upgrades may take effect immediately and may result in a pro-rated charge for the remainder of the current billing period. Downgrades take effect at the next renewal unless we state otherwise.
Overdue Amounts and Suspension. If a charge is declined or an invoice remains unpaid, we may suspend or limit access until the issue is resolved. We may also attempt to re-process charges using any payment method on file.
Chargebacks and Billing Disputes. If you initiate a chargeback, we may suspend your account pending resolution. Please contact support@visioncinex.com to resolve billing issues; disputed amounts must be brought to our attention within 60 days of the charge.
Refunds. We do not provide prorated refunds for unused time. Refunds are available only if:
You cancel within 3 days of the initial purchase of a subscription term and you have not used bundled AI features or other included allowances.
Company Discretion: Except where required by law, all refunds are at our sole discretion. Repeated or abusive refund requests may be denied.
Bundled AI Features (e.g., AI script import credits). Bundled features and included allowances are part of the subscription. Use of these features constitutes partial delivery of the Service. Refunds are not available once such features have been used, except where required by law.
Corrections. We may correct billing errors or mistakes (including refunds or additional charges) even if a charge has already been requested or received.Add-Ons (AI Image Credits; Archive Storage).
AI Image Credits. One-time purchases of AI Image Credits are non-refundable. Credits never expire if unused, are non-transferable, and have no cash value.
Archive Storage is billed monthly, is non-refundable, and can be canceled at any time; canceling removes access to archived projects after the plan ends.
Add-Ons
We may offer optional add-ons in addition to subscription plans. Add-ons are billed as described at purchase and are governed by these Terms and the Subscription and Payment Terms (including our Refunds rules). We may change, suspend, or discontinue add-ons with notice where required.
AI Image Credits. One-time purchases of AI Image Credits are non-refundable. Unused credits do not expire, but are non-transferable and have no cash value. We may set reasonable per-account limits to prevent abuse and may revoke credits obtained by fraud or misuse.
Archive Storage. Archive Storage is billed monthly and is non-refundable, but may be canceled at any time. Access to archived projects ends when the add-on ends or when your plan is downgraded below the required tier; content is then handled under our Data Retention and Deletion policy. Storage limits, tiers, and pricing are described on our current pricing page and may change with notice. Archive Storage is intended for project archiving and collaboration, not general public distribution.
Content Ownership and Right
You retain ownership of all files, projects, scripts, and assets you upload.
You grant us a limited license to:
Store and process your content to provide the Service.
Use AI and machine learning tools for analysis, tagging, and organization.
Create secure backups.
Provide support when requested.
The license ends when you delete content or close your account, except for backups retained under our retention policy.
We may retain and use Usage Data to analyze, improve, and operate the Service. Usage Data does not include your project files, scripts, media, or other user-generated content and cannot be used to identify you.
As between you and us, you own the AI Output generated for your account, subject to your compliance with these Terms and applicable law. You are responsible for reviewing AI Output and for any decisions you make based on it. AI Output may not be unique and could be similar to output generated for others.
The platform, software, designs, AI models, and underlying technology are owned by Vision Cine X Inc.

A statement under penalty of perjury that your claim is accurate.
We will review and respond to copyright complaints in line with applicable laws, including the U.S. Digital Millennium Copyright Act (DMCA) where relevant.
AI Features and Limitations
AI features may not always be accurate. You must review results before relying on them.
We do not train AI models on your content.
Prohibited AI uses include:
Deepfakes or misuse of likenesses.
Content that is unlawful, abusive, hateful, or harmful.
Acceptable Use and Restrictions
You may not upload or share illegal content, including child sexual abuse material (CSAM), extremist content, or hate speech. We report suspected CSAM to relevant authorities.
You may not violate third-party intellectual property rights.
You may not upload malware, attempt to hack the Service, or interfere with other users.
You may not use automated bots or scraping tools without our written permission.
You may not use the Service to host, stream, or distribute large-scale media libraries, pirated films/TV, copyrighted music, or materials unrelated to your projects. Public sharing is intended for collaboration, not general file distribution.
The Service is designed with commercially reasonable security measures to protect your projects and intellectual property. However, the Service is not intended for regulated or high-risk data where specific certifications are required (for example, payment card data subject to PCI DSS, protected health information (PHI) under HIPAA, or personal data of children under 13 or the minimum age in your jurisdiction).
You may not use the Service if you are located in, organized under the laws of, or ordinarily resident in any country or region embargoed by the U.S. government (including Cuba, Iran, North Korea, Syria, or other regions subject to sanctions), or if you are on a U.S. denied or restricted parties list. You represent and warrant that you are not subject to such restrictions and will not use the Service for any purpose prohibited by U.S. export laws.
You may not copy or reproduce the Service’s user interface, workflows, or design elements in a way that creates a competing product or misleads users about the source of the Service.
Violations may result in suspension or termination of access, in our reasonable discretion.
Fair Use
Excessive bandwidth, storage, or API use that materially exceeds typical creative project needs (for example, use that significantly impacts system stability or incurs disproportionate costs) may be deemed abusive. We may rate-limit, suspend, or remove content/accounts that create unreasonable load or costs.
Public Link Responsibility
If you enable a Public Link, you understand that recipients may re-share or download content and that search engines or messaging platforms may generate previews. You are responsible for the permissions you apply. We may remove or disable Public Links that pose security, legal, or abuse risks.
Security & Incident Notice
We implement commercially reasonable technical and organizational measures to protect the Service. You are responsible for safeguarding your credentials and for configuring sharing settings appropriately. If we become aware of unauthorized access to personal data in your account, we will notify you without undue delay, consistent with applicable law.
If you discover a security vulnerability, you agree to report it responsibly to us at security@visioncinex.com. You must not exploit or publicly disclose the issue before we have a reasonable chance to address it.Data Retention and Deletion
Basic plan: Projects are deleted immediately upon cancellation.
Starter, Professional, and Studio plans: Projects follow deletion buffers (14–120 days depending on plan).
After the buffer, projects and content are permanently deleted unless retention is required by law.
Users can download individual files. Broader export options may be introduced later.
We maintain automated backups and redundancy through reputable cloud providers (e.g., AWS, DigitalOcean, Cloudflare, and MongoDB Atlas). Backups are retained for a limited time and are used solely for disaster recovery and continuity. Content is permanently removed from active systems at the end of applicable retention periods, and subsequently from backups as they cycle out.
Privacy and Data Protection
Our data practices are described in our Privacy Policy.
Commitments:
We do not sell your personal data.
Primary storage is in secure EU and U.S. data centers.
AI vendors are contractually barred from training on your data.
You may delete your data at any time.
Sub-processors: we rely on vetted third-party providers (sub-processors) to deliver parts of the Service. We maintain a current list available on request or on our website and will provide notice of material changes as described in our Privacy Policy.
Service Availability and Support
We aim to maintain high availability but cannot guarantee uninterrupted service.
Support levels vary by subscription:
Basic (Free): Community resources, documentation, and standard email support.
Starter & Professional: Standard email support with faster response times.
Studio: Priority email support with faster turnaround and extended availability.
Enterprise: Priority support including dedicated account assistance and optional personal support.
Automated backups are maintained with geographic redundancy.
Third-Party Services and Beta Features
Third-Party Services: Some features rely on third-party services (e.g., ShotDeck, Google Maps, OpenAI). Their availability and performance are subject to those providers’ terms and uptime; we are not responsible for interruptions or changes outside our control.
Your use of certain features may be subject to the applicable third-party provider’s terms, which are incorporated by reference to the extent they apply (for example, Google Maps terms for map features). We are not responsible for third-party terms or changes outside our control.
Beta/Experimental Features: We may offer preview or beta features “as is,” which may be modified, suspended, or discontinued at any time and may be less reliable than generally available features.
You may provide ideas, feedback, or suggestions (“Feedback”). You grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use the Feedback to develop and improve the Service without any obligation to you.
Disclaimers and Limitations
Disclaimers. The Service is provided “as is” and “as available” without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free operation, that the Service will meet your requirements, or that AI features will always produce accurate or unique results.
Limitations of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER VISION CINE X NOR ITS SUPPLIERS OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. Confidentiality
We will not access, disclose, or use your Content except as necessary to provide the Services, comply with law, or with your consent. We understand your projects may involve unreleased scripts, media, or client materials, and we treat them as confidential. Enterprise customers may request additional confidentiality protections in a custom agreement.
Restrictions on Use
You agree not to, and will not permit others to:
Copy, modify, distribute, sell, or lease any part of the Services, software, or content we provide.
